Questions to comments, clarifications, things like that about the agreement, just so we're all on the same page and we can all. 00:12:29

For the two agencies to work together and to do the work, you know, the background work and then take it back to our prospective 00:12:56

To allow that to happen. So that's been happening over the decades, long before I was here, long before Kristen was here and 00:13:14

This committee to talk about the CBF and then any other items that are that the both agencies would like to talk about. So that's 00:13:25
because kind of the little background about the city port canoe, if I could just add a little background as well. I know that when 00:13:31
I was on the committee for the first time. 00:13:37
It was sporadic. And then last year we we talked about having these meetings more on a monthly basis just to get everybody on the 00:13:44
same page, everybody moving the same direction. I think that that having this particular item on the agenda month after month is 00:13:50
going to help clarify a lot of misunderstandings and help answer a lot of questions. We may not know the answers at, you know, 00:13:57
when we're in these meetings, but it's good to go back to our attorneys to say, you know. 00:14:03

Meeting regularly discussing these items will bring a lot of clarification for everyone, which would then extend out to our 00:14:16

Everybody was kind of struggling during that discussion. I mean, I watched it and I think that we could have made it a bit 00:23:43

One of the issues that came up was. 00:23:51
The definition of convoy. And so we wanted just to talk about that a little bit. 00:23:53
Under that term. And then the other thing we wanted to talk about is. 00:23:58
The the port owes the city some items regarding. 00:24:05
You know, under this settlement agreement, and the city owes the port some items too. 00:24:10

What we've talked about with our staff is. 00:24:15
Let's shoot for a deadline of January 1st of this year, next year to figure out all that, resolve it and see if we can get 00:24:18
everything that's due to each other. 00:24:24
By that time, and so our staff, we've talked to them. 00:24:31
And they think it's durable from our side and I, I don't know if it is from your side or not. 00:24:35
But we'd like to. 00:24:40
At least shoot for that to kind of start fresh and clear, you know, at the the 1st of 2026. 00:24:42
And resolve some of those issues there. 00:24:47

May I make one small correction to James statement in our conversation? So I just want to share that. The other thing was James, 00:26:40
that we agreed that we wanted in a different format that tied the actual expenses to the investment, not just the report that was 00:26:46
provided years ago by former city managers, but really have the dollar and cents accounting in the new template. Well, that's 00:26:53
where you know kind of going to. Can we meet a January 1st deadline? The question is what are we providing so. 00:26:59
I know we've talked about trying to make it better, so that's something we were looking to work to do. 00:27:06
But if the question is can we provide the last 30 or 40 years in that format by January 1st, the answer is probably not so. 00:27:13

Because I I lived and breathed this back in the day, Commissioner Rooney was with me, one of the reasons that we inserted the 00:30:40

Was because there was a concern that there was a gift of public funds for the port because some of the things that were spilled 00:30:48
out in the former agreements were like widening Port Winnemi Rd. which we all know is going to happen. So the intent of this 00:30:54
particular language in the settlement agreement. 00:30:59

In Section 13 of the settlement agreement, if you want to look at it, but it speaks to the allowable expenditures and it requires 00:31:06
the written report for the accounting to avoid that perception of gifted public funds. And it was very important to the Board at 00:31:12
the time as we were negotiating the settlement agreement. So that just provides some history. 00:31:17
In terms of the reports, we do have reports that were submitted. 00:31:23
In 2015, sixteen, 1718, we're missing them for 19/20/21 and then 2223 and then we have it in 22, not 23, but we do have it in 24. 00:31:28
But we don't have an informant format that really. 00:31:43

To what was spent. And that's where James and I just need to sit down. We put together a template. 00:31:49
For his consideration, and obviously he needs opportunity to go back and look at the books and figure out how you really allocate. 00:31:55

You know, in our humble opinion, I think we would like to see all the reports. 00:32:23
Agreement on by the December 31st, we are to provide a copy of our audit and then also a report that details the activity of cargo 00:32:58

And we owe reports. I think we had some. 00:33:09
Brain fog from COVID in 2019, it seems that our reporting fell through the wayside. And I think it's 'cause we moved everyone off 00:33:13
campus and things. So we do all the city reports from 2020 to 24, which we are working now with our auditor to ensure you get what 00:33:20
you deserve and entitle to as well. OK, so that's the that's the objective is to get everybody the reporting. 00:33:27

And so that's that's one of the items that we talked about and James and I talked about that too. We know we both need to, we've 00:33:39

One of the challenges with the Brown Act is the Brown Act is intended to make sure we aren't doing that and it's intended to 00:34:17
really sort and tight tighten up what we're doing so that the public knows what we're going to talk about and has the opportunity 00:34:21

I also just wanted to report that our City Council actually specifically discussed whether the settlement agreement topic is 00:34:54
appropriate for the city Port Committee and decided not to delegate that to the city Port committee. Could you provide us with 00:34:59

At that at that council meeting, there was a motion to delegate it to the committee and that motion failed. So we can provide that 00:35:12
that comment, but so I understand the like the desire and that it would be. 00:35:17
You know, simpler if that were the case, but for us just ultimately we don't have authority from the council to discuss settlement 00:35:22

It was sporadic. And then last year we we talked about having these meetings more on a monthly basis just to get everybody on the 00:13:44
same page, everybody moving the same direction. I think that that having this particular item on the agenda month after month is 00:13:50
going to help clarify a lot of misunderstandings and help answer a lot of questions. We may not know the answers at, you know, 00:13:57
when we're in these meetings, but it's good to go back to our attorneys to say, you know. 00:14:03

Meeting regularly discussing these items will bring a lot of clarification for everyone, which would then extend out to our 00:14:16

You know, under this settlement agreement, and the city owes the port some items too. 00:24:10

Let's shoot for a deadline of January 1st of this year, next year to figure out all that, resolve it and see if we can get 00:24:18

And they think it's durable from our side and I, I don't know if it is from your side or not. 00:24:35
